Every other Qontra subsidiary enters the group as a licensee. Qontra UK is the only entity that enters as a licensor — licensing Qontra-MERIDIAN outward to sibling entities, to its own subsidiaries, and potentially to Holdings itself.
As Qontra-MERIDIAN demonstrates global institutional demand, Qontra UK establishes its own subsidiary structure. Each subsidiary deploys MERIDIAN under licence from Qontra UK. Expansion is built on owned IP — never on licensed systems.
Qontra UK expands on what it owns. MERIDIAN travels. Licensed systems do not. Every Qontra UK subsidiary deploys MERIDIAN under licence from Qontra UK. The licensing revenue flows back to the entity that built it. This structure does not change.

Emmanuel Boniface holds the Licensor position within Qontra UK as the personal owner of the core intellectual property that underpins the group's systems. This means the IP was created and owned by the founder before any corporate structure was formalised, and has been licensed into the group on defined terms. This is not a formality — it is a deliberate structural choice that places IP ownership at the individual level and creates a governance layer above the corporate structure itself. It is one of the mechanisms by which the integrity of the Qontra architecture is maintained as the group scales.

These terms apply from the moment of first contact and remain in effect until superseded by a formal agreement.
Qontra UK engages with government entities, financial institutions, critical infrastructure operators, and strategic enterprises operating at institutional scale within Europe and the Five Eyes corridor. Qontra UK reserves the right to decline engagement with any party, at any stage, without obligation to provide a reason.
All preliminary engagement — including the fact of engagement, the subject matter of any discussions, and any materials shared — is treated as confidential by both parties. Nothing shared by Qontra UK during preliminary engagement may be disclosed to any third party without prior written consent.
Nothing in any preliminary engagement constitutes a licence, transfer, or assignment of any intellectual property owned by Qontra UK or the Qontra group. All systems, concepts, architectures, and materials presented remain the exclusive property of Qontra UK and, where applicable, Qontra Holdings AG.
Qontra UK enters preliminary engagement without obligation to proceed to any formal arrangement. The existence of a dialogue, however extensive, does not create any legal obligation, representation, or warranty. Either party may withdraw at any time without liability.
Any institution making contact with Qontra UK represents that it has the authority to do so, that the contact is made in good faith, and that the information provided is accurate. Qontra UK reserves the right to verify the identity and standing of any party seeking engagement.
These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Qontra UK reserves the right to amend these Terms at any time. The version published at the time of first contact shall apply to that engagement unless both parties agree otherwise in writing.
